By accessing or using the services provided by Mimic ("we," "our," or "us"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use our services.
Mimic provides AI-powered communication and patient engagement tools for medical practices, including automated call answering, appointment scheduling, review management, and patient recall services ("Services").
Our Services are intended for licensed medical practices and their authorized representatives. By using our Services, you represent that you have the authority to bind the practice to these terms.
Fees for our Services are described on our Pricing page and in your service agreement. Fees are billed monthly and are due upon receipt of invoice. We reserve the right to change fees with 30 days' written notice.
The initial term is three (3) months from the date of activation. After the initial term, the agreement continues on a month-to-month basis. Either party may terminate with 30 days' written notice after the initial term.
Upon termination, we will securely delete your data within 30 days unless retention is required by law. You may request a data export before termination.
Where our Services involve the processing of Protected Health Information (PHI), we will enter into a Business Associate Agreement (BAA) with you. We comply with all applicable provisions of HIPAA, the HITECH Act, and related regulations.
To the maximum extent permitted by law, Mimic's total liability for any claims arising from the use of our Services shall not exceed the total fees paid by you during the twelve (12) months preceding the claim.
We are not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill.
All intellectual property rights in our Services, including software, content, and trademarks, remain with Mimic. You retain ownership of your data. You grant us a limited license to use your data solely for the purpose of providing our Services.
We may modify these terms at any time. Material changes will be communicated with at least 30 days' notice. Continued use of the Services after changes take effect constitutes acceptance of the modified terms.
These terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.
